Private Membership Agreement - Terms & Conditions

This Membership Agreement ("Agreement") is entered into between Wealth of Women Precious Metals Club ("the Club") and the undersigned member ("Member"), effective as of the date of acceptance by the Club.

1. **Membership Eligibility:**

Membership to the Club is open to individuals aged 18 years or older who are female who share an interest in precious metals investment and financial education. If you’re a male and interested in joining a male only group please contact info@wealthofwomen.com.au.

2. **Membership Benefits:**

As a Member of the Club, you will have access to a range of educational services, including but not limited to seminars, workshops, webinars, and educational materials related to precious metals investment and financial literacy, provided by Wealth of Women, a Not-for-Profit Community Services Organisation dedicated to empowering women through education, based on the principles of a social compact agreement.

3. **Membership Fees:**

To access certain premium services or events offered by the Club, membership fees may be required. Prior to enrollment in any premium services, the Club will communicate the fees and payment terms to Members.

Members agree to authorise the Club to automatically process membership fees using the payment information provided upon enrollment. In the event of a failure to process membership fees after multiple attempts, the Club reserves the right to cease access to Club benefits until payment is successfully processed.

If access to Club benefits is suspended due to payment failure, the Member will be notified promptly and provided with an opportunity to update their payment information. Failure to rectify the payment issue within a specified timeframe may result in further action, including termination of membership, in accordance with the terms of this Agreement.

4. **Membership Term:**

The Precious Metals Club and Eureka Online Club memberships have a minimum term of 3 months, commencing from the date of acceptance by the Club. The Collins St Club membership carries a minimum term of 6 months, commencing from the date of acceptance by the Club.

Upon the completion of the initial membership term, memberships will automatically renew for subsequent terms unless terminated by either party in accordance with the terms of this Agreement.

Members have the option to upgrade to a higher membership tier at any time during their membership term, subject to availability. In the event of an upgrade, the terms and benefits of the new membership tier will apply, and any remaining term from the previous tier will be adjusted accordingly.

5. **Termination of Membership:**

Either party may terminate this Agreement within 14 days of the initial or each successive term. For the 3-month term of the Precious Metals Club and Eureka Online Club or the 6-month term of the Collins St Club, termination can occur with or without cause, by providing written notice to the other party. Upon termination, the Member's access to Club services and benefits will cease. The Wealth of Women Founders reserve the right to terminate any members participation or access to services and benefits for any reason.

6. **Confidentiality:**

Members agree to maintain the confidentiality of any proprietary information or trade secrets disclosed by the Club during the course of membership. This includes but is not limited to educational materials, investment strategies, and intellectual property.

7. **Privacy Clause:**

The Club is committed to protecting the privacy and confidentiality of its Members' personal information. By becoming a Member, you consent to the collection, use, and disclosure of your personal information for the purposes outlined in the Club's Privacy Policy. Personal information will only be used for the purposes of administering your membership, providing you with access to Club services, and communicating with you about Club activities and events. The Club will not disclose your personal information to third parties without your consent, except as required by law or as necessary to fulfill the purposes for which it was collected.

8. **Dispute Resolution:**

Any dispute arising out of or in connection with this Agreement, including any question regarding its existence, validity, or termination, shall be resolved in accordance with the Dispute and Resolution Policy as outlined by the Club. The parties agree to cooperate in good faith to attempt to resolve any dispute informally before initiating formal dispute resolution procedures.

9. **Accuracy, Completeness, and Timeliness of Information:**

The Club makes no representations or warranties regarding the accuracy, completeness, or timeliness of the information provided as part of Club services. Members acknowledge that all content, including educational materials, seminars, workshops, and webinars, is provided for informational purposes only and should not be relied upon as financial, legal, or tax advice.

10. **Optional Tools:**

The Club may provide Members with access to optional tools, resources, or third-party services for educational purposes. The Club does not endorse or warrant the effectiveness or accuracy of these tools and shall not be liable for any damages arising from the use of such tools.

11. **Third-Party Links:**

The Club may include links to third-party websites or resources for informational purposes. The Club does not endorse or control the content of these third-party sites and shall not be liable for any damages arising from the use of such links.

12. **Errors, Inaccuracies, and Omissions:**

The Club strives to provide accurate and up-to-date information but may occasionally contain errors, inaccuracies, or omissions. The Club reserves the right to correct any errors, inaccuracies, or omissions and to update information at any time without prior notice.

13. **User Comments, Feedback, and Other Submissions:**

If, at the Club's request, you submit certain specific submissions (for example, contest entries), or without a request from the Club, you send creative ideas, suggestions, proposals, plans, or other materials, whether online, by email, by postal mail, or otherwise (collectively, "comments"), you agree that the Club may, at any time, without restriction, edit, copy, publish, distribute, translate, and otherwise use in any medium any comments that you forward to us. The Club is and shall be under no obligation: (1) to maintain any comments in confidence; (2) to pay compensation for any comments; or (3) to respond to any comments.

The Club may, but has no obligation to, monitor, edit, or remove content that it determines in its sole discretion are unlawful, offensive, threatening, libellous, defamatory, pornographic, obscene, or otherwise objectionable or violates any party’s intellectual property or these Terms of Service.

You agree that your comments will not violate any right of any third-party, including copyright, trademark, privacy, personality, or other personal or proprietary right. You further agree that your comments will not contain libellous or otherwise unlawful, abusive, or obscene material, or contain any computer virus or other malware that could in any way affect the operation of the Club's services or any related website. You may not use a false e-mail address, pretend to be someone other than yourself, or otherwise mislead the Club or third-parties as to the origin of any comments. You are solely responsible for any comments you make and their accuracy. The Club takes no responsibility and assumes no liability for any comments posted by you or any third-party.

14. **Disclaimer of Warranties:**

The Club makes no representations or warranties of any kind, express or implied, regarding the accuracy, completeness, or reliability of the information provided as part of Club services. All content is provided on an "as is" and "as available" basis, without any warranties of any kind, whether express or implied.

15. **Limitation of Liability:**

The Club shall not be liable for any indirect, incidental, special, or consequential damages arising out of or in connection with Membership, including but not limited to loss of profits, loss of data, or loss of opportunity. In no event shall the total liability of the Club exceed the amount paid by the Member for Membership fees.

16. **Amendment of Agreement:**

The Club reserves the right to amend this Agreement at any time. Notice of any amendments will be provided to Members via email or through the Club's website. Continued Membership following the amendment constitutes acceptance of the revised terms.

17. **Governing Law:**

This Agreement shall be governed by and construed in accordance with International law and principles outlined in the Universal Declaration of Human Rights (UDHR).

18. **Entire Agreement:**

This Agreement constitutes the entire understanding between the

Club and the Member regarding the subject matter herein and supersedes all prior agreements and understandings, whether written or oral.
